Articles
A sales tax is created on sales conducted throughout the territory of the Republic, which shall be applied in a non-cumulative manner at the import stage and at each stage of sale of goods or services in accordance with the provisions of this Law and its Regulation.
For the purposes of this Law, the term 'sale' shall be understood to mean any act that constitutes the transfer for a price of goods from the ownership of a natural or legal person to the ownership of another, or that has as its ultimate purpose the transmission of such ownership, regardless of the name the parties give to the underlying contract or transaction in which it is included or involved, and regardless of the form of payment of the price, whether in money or in kind. The term 'sales' also includes taxable services as provided in this Law, and the consumption or use by the importer of goods introduced into the country, or by the manufacturer or producer of goods or products that they respectively produce or manufacture, insofar as such goods are not expressly exempted by this Law.
For purposes of calculating the tax, the taxable base shall be as follows:
- a)
In the sale of goods and in the provision of services, the taxable base shall be the value of the good or service, whether the transaction is conducted on a cash or credit basis, excluding direct costs of ordinary or extraordinary financing;
- b)
The taxable base for calculating sales tax in the case of imported goods shall be the CIF value of such goods, increased by the value of tariff duties, selective consumption taxes, specific taxes, and other charges on imports;
- c)
In the use or consumption of goods for personal benefit, self-provision of services, and gifts, the taxable base shall be the commercial value of the good or service. Discounts actually given, as evidenced in the invoice or equivalent document, do not form part of the taxable base, provided they are normal according to commercial custom. Likewise, the value of packaging and containers that, by virtue of agreements or commercial customs, are subject to return does not form part of the taxable base.
In the absence of invoices or equivalent documents, or when such documents show transaction amounts lower than the market price, the Executive Tax Office (DEI), absent proof to the contrary, shall consider as the transaction value the market price.
Sales of goods or services to administrators, members of the Board of Directors, partners and auditors of corporations, or to the blood or in-law relatives of the taxpayer within the degrees allowed by law, or to the taxpayer's spouse, shall be taxed at the normal market prices for purposes of this Law.
The tax event occurs:
- a)
In the sale of goods, on the date of issuance of the invoice or equivalent document and, in the absence thereof, at the moment of delivery, even if a retention of title, repurchase agreement, or any other condition has been agreed upon;
- b)
In the provision of services, on the date of issuance of the invoice or equivalent document or on the date of provision of services or on the date of payment or partial payment, whichever occurs first;
- c)
In the use or consumption of goods for personal use or to form part of the company's fixed assets, on the date of withdrawal;
- d)
In imports, at the moment of nationalization of the good or of the liquidation and payment of the corresponding customs clearance certificate;
- e)
Used goods and merchandise are subject to sales tax when imported, in which case this tax shall constitute a cost thereof. When such goods and merchandise are subject to commercialization in the domestic market, they shall not be subject to sales tax.
The general rate of the tax is fifteen percent (15%) on the value of the taxable base of imports or sales of goods and services subject thereto. Sales tax applies to telecommunications services in accordance with the following scale: 1) For users of Telephone Service and Mobile Telephone Service (which includes Personal Communications Service (PCS) and Cellular Mobile Telephone Service), as follows: a) Post-pay mode with monthly consumption or monthly billing cycle: i) From USD 0.01 to USD 40.00 or its equivalent in Lempiras, at 15% Sales Tax; and, ii) From USD 40.01 onwards or its equivalent in Lempiras, at 15% Sales Tax. b) Pre-pay mode remains at the existing tax rate of 15% Sales Tax. 2) For Internet Service access with the following Bandwidths and/or Speeds:

- b)
For Bandwidth and/or Speeds greater than 1.024 Mbps, at 15% Sales Tax; and,
- c)
For Subscription Television Service with monthly consumption, in its different broadcast modalities, in accordance with the following scale: i) From L. 0.01 to L. 500.00, at 15% Sales Tax; ii) From L. 500.01 onwards, at 15% Sales Tax; and, iii) Fifteen percent (15%) Sales Tax for other telecommunications services, excepting supplementary and vertical services provided by Personal Communications Service (PCS) operators, Cellular Mobile Telephone Service, and Telephone Service is subject to fifteen percent (15%) Sales Tax. Authorization is granted to the Honduran Telecommunications Corporation (HONDUTEL) to proceed with direct contracting of equipment and software directly necessary for the implementation of the measure established in Article 13, numeral 1) of this Law. Authorization is granted to the Department of State for Finance to issue regulations regarding the deadlines for implementation of the collection of the measure established in Article 6, Second Paragraph, Numeral 1) of this Law. When this tax is applied to the import or sale of beer, aguardiente, compound liquor and other alcoholic beverages, and cigarettes, the rate shall be eighteen percent (18%). In the case of beer, carbonated water and refreshing beverages, this tax shall be applied on the selling price at the distributor stage, including the value of the production and consumption tax at the import stage and at the level of national production. Collection of this tax shall occur at the producer level and on import at the moment of liquidation and payment. In the case of alcoholic beverages and compound liquor, the tax shall be applied in accordance with the provisions of Article 1 of the Sales Tax Law, including the value of the production and consumption tax at the national production and import stage. In the case of cigarettes and other manufactured tobacco products, the tax shall be calculated based on the price at the wholesale stage, including the production and consumption tax. Tax collection shall be made at the producer level and on import at the moment of liquidation and payment. Producers and importers of cigarettes and other manufactured tobacco products are obligated to provide the Department of State for Finance with the prices of sale to the distributor of their products, within ten (10) days following the effective date of the respective Regulation. In the case of tickets for national and international air transport, including those issued via the Internet or other electronic means, the tax shall be collected at the place where the electronic order is issued or the ticket is issued, or failing that, at the place of passenger boarding in national territory. Airlines providing such service are responsible for this tax and are withholding agents for the Treasury and shall deposit the collected amounts within ten (10) calendar days following the month in which sales were conducted. With respect to national and international air transport tickets, a tax rate of eighteen percent (18%) is imposed on Sales Tax for air transport tickets in executive class, first class, business class, or similar standards. Every privileged seat, excepting cases of persons with disabilities, beyond economy class must pay 18% Sales Tax. The value of sales tax on goods and services that are exported, including special regimes and export promotion regimes, shall be calculated at a zero rate, with exports being exempt and entitled to a credit or refund for sales tax paid on inputs and services incorporated or used in the production of exported goods, when the producer is the same exporter.
It is the obligation of those responsible for the tax, except those included in the Simplified Regime referred to in Article 11-A, to issue an invoice or equivalent document for sales or services rendered. Likewise, the seller shall record the amount of the tax in a special account held for the benefit of the Treasury and shall, in due course, record in the account the payment made to the corresponding tax collection office. When sales of goods or provision of services are made to the final consumer, the tax shall be included in the final price of the goods and services subject to the sale or transaction. For purposes of applying the sales tax, those collecting or responsible for the tax shall deliver to the buyer of the goods or users of the services the original of the invoice or equivalent document, which shall contain the requirements established by the Regulation issued by the Executive Tax Office. The control of the printing and issuance of invoices or equivalent documents shall be performed by the Executive Tax Office (DEI) in accordance with the respective regulation. Taxpayers may keep accounting records on computers and use cash registers for the issuance of invoices or equivalent receipts as supporting documents for the activities they conduct, provided they notify the Executive Tax Office (DEI) of such circumstances; without prejudice to the foregoing, cash registers as well as accounting records maintained by magnetic or electronic means must meet the requirements, characteristics, and other conditions established by the Executive Tax Office (DEI). The failure to comply with the obligations established in the preceding paragraph, as well as the issuance of invoices or equivalent receipts that do not meet the corresponding requirements, shall be sufficient cause for the Executive Tax Office (DEI) to prohibit the responsible party from continuing to use such machines, means, and documents for these purposes, and the Executive Tax Office shall establish the manner, time, or period of validity of such prohibition; during this period, the violator shall be obligated to print or import their receipts.
Those responsible for tax collection are:
- a)
In sales, the natural or legal persons conducting them;
- b)
In services, the natural or legal persons providing them;
- c)
In imports, the importers or their customs agent. The tax shall be collected regardless of the intended destination of the goods. Natural or legal persons included in the Simplified Regime referred to in Article 11-A of this Law who conducted sales in the immediately preceding fiscal year up to an amount of Two Hundred Fifty Thousand Lempiras exact (L. 250,000.00) shall not be responsible for tax collection, being only obligated to present an Annual Sales Declaration no later than January 31 of the following fiscal year. The Tax Administration may designate producers and wholesale merchants as tax collection or withholding agents when they conduct sales whose taxable base is the final consumer price. In the case referred to in this paragraph, the transferred goods shall not be subject to new taxation, regardless of the number of subsequent intermediations, except in the case of provision of services taxed under this tax. Taxpayers who are credit or debit card issuers, operators, and concessionaires are designated as withholding agents for sales tax caused by transfers of goods or provision of taxed services conducted by affiliated businesses when they receive payment using credit cards from their customers. Such Credit or Debit Card Operators and Concessionaires (OTCD) must automatically apply a ten percent (10%) withholding on the total amount of Sales Tax that is itemized in the transactions of taxed goods and services registered by their affiliates, which must be deposited entirely for the benefit of the Treasury, in the dates and collection offices indicated by law and with no right whatsoever for the OTCD to fiscal credit. The remaining amount must be reimbursed to its affiliate. The withholding agent must issue withholding receipts to the affiliates, so they can support their right to credit that will serve as the basis for the Sales Tax calculation to be declared and paid automatically. The Executive Tax Office (DEI) is authorized to designate as Withholding Agents those who habitually acquire certain goods or are habitual recipients of certain services, other than those listed in this Article, and withholdings may be made in whole or in part on the Sales Tax caused in sales transactions, as determined by the Executive Tax Office (DEI). The provisions on Sales Tax withholding shall be supplemented with the following obligations:
- 1)
Credit or Debit Card Service Operators and Concessionaires (OTCD) shall respond jointly and severally only for the withholding of Sales Tax when it has been reported by affiliated businesses when they receive payment using credit or debit cards from their customers, paid for by transfers of goods or provision of services taxed and conducted by affiliated businesses when they receive payment using credit or debit cards from their customers;
- 2)
The OTCD must adjust their systems to make mandatory in each transaction conducted by affiliated establishments the itemization of the amount corresponding to Sales Tax caused, even when it is equal to zero (0);
- 3)
Affiliated merchants or establishments must record the amount caused by Sales Tax, even when it is equal to zero (0) or the sale is made to the final consumer, under the warning that if they fail to do so, the OTCD shall do so automatically;
- 4)
Credit and Debit Card Service Concessionaires (OTCD) must automatically apply fifteen percent (15%) on the total amount when there is no itemization of Sales Tax caused in the transactions of taxed goods and services of their affiliates;
- 5)
Affiliated establishments or merchants that conduct all of their transactions without causing Sales Tax must file with the Tax Administration for a resolution of exclusion from this regime, which exclusion must be communicated directly by the Tax Administration to Credit or Debit Card Service Operators and Concessionaires (OTCD);
- 6)
Credit or Debit Card Service Operators and Concessionaires (OTCD) must remit through the banking system the total amount of withholdings in each month, no later than within the first ten (10) calendar days of the following month in which the withholding was made; such payments shall be presented in the means the Tax Administration provides; and,
- 7)
Credit or Debit Card Service Operators and Concessionaires (OTCD) that fail to comply with the above shall be responsible administratively, civilly, and criminally.
- 1)
The taxpayer may pass on to the buyer the tax rates established by this Law on the price of the item sold or service provided. When calculating such tax, if a fraction of less than 0.005 Lempiras results, the surcharge must be reduced to the nearest lower cent figure; however, if the cited fraction is equal to or greater than 0.005 Lempiras, the calculation may be rounded up to the nearest higher cent figure. The passing of the tax to the consumer outside the rule established in the preceding paragraph shall be considered theft and shall be sanctioned by the Executive Tax Office with the penalty established in Article 23 of this Law, without prejudice to any criminal liability that may apply.
The taxpayer or person responsible for Sales Tax, including exporters or any other natural or legal person, shall be registered as such with the Executive Tax Office (DEI) upon notifying the start of operations or activities or upon presenting their first declaration, as applicable. The taxpayer or person responsible or any other natural or legal person who does not have their National Tax Registry (RTN) shall receive it free of charge and without any economic penalty from the Executive Tax Office (DEI), for purposes of complying with their tax obligations.
Those responsible for tax collection shall present a monthly sworn declaration of sales and shall pay the amounts collected at the authorized collection offices. Payment shall be made within the first ten (10) calendar days of the month following that in which sales were conducted. When those responsible are part of the Simplified Regime referred to in Article 11-A of this Law with taxed sales up to Two Hundred Fifty Thousand (L. 250,000.00) Lempiras exact annually. In the volume of sales of the stated amount of Two Hundred Fifty Thousand Lempiras (L. 250,000.00), exempt sales of goods and services and those that paid the tax at the factory level must be excluded for purposes of determining the declaration. The aforementioned declaration shall be presented even when the difference between the tax debit and tax credit is zero or in favor of the person responsible for collection, or when the temporary closure of the business occurs.
A Simplified Regime for Sales Tax is established for natural or legal persons who have a single business establishment and whose taxed sales do not exceed Two Hundred Fifty Thousand Lempiras Exact (L. 250,000.00) annually, who shall not be responsible for tax collection, being only obligated to present an Annual Sales Declaration no later than January 31 of the following fiscal year. The presentation of the Annual Sales Declaration of the Simplified Regime shall be applicable beginning with the 2014 Fiscal Period. The failure to meet any of the requirements stated in the preceding paragraph shall result in the respective merchants being subject to the ordinary rules of this Law. When commercial operations have begun within the respective tax year, the sales that shall be taken as the basis for calculating the amount conducted in the corresponding period shall be those resulting from dividing the sales conducted during the first two (2) months of operation by sixty (60) and multiplying the quotient thus obtained by three hundred sixty (360). Those responsible for Sales Tax obligated to declare monthly may only adopt the Simplified Regime when they demonstrate that in the two (2) fiscal years preceding the election, the conditions established for such Regime were met for each year. The Executive Tax Office may, on its own initiative, reclassify retail or small merchants who have ceased to meet the requirements established in the first paragraph of this provision.
Those responsible shall act in accordance with the following rules for the liquidation of such tax. In the case of sales or provision of services, the liquidation shall be made taking as the basis the difference resulting between the tax debit and the tax credit: A) The debit shall be determined by applying the tax rate to the value of sales of the respective goods or services, less, as applicable: a) The value of taxes that the person responsible has refunded for annulled or rescinded sales in the fiscal period, and, b) The value of taxes that the person responsible has refunded for price reductions and discounts or other normal commercial deductions in the fiscal period. B) The credit shall consist of the amount of sales tax paid at the time of import and paid for domestic purchases of goods or services made by the person responsible, less, as applicable: a) The value of taxes that have been refunded to the responsible party for purchases annulled or rescinded in the fiscal period; and, b) The value of taxes that have been refunded to the responsible party for price reductions, discounts, or other deductions that imply a reduction in the purchase price of goods or services in the fiscal period. In the case of import of goods or services, the liquidation shall be made by applying in each transaction the rate of tax on the taxable base referred to in the preceding Article 3. Taxpayers or those responsible, including importers and exporters, whose inputs are directly linked to the production thereof, as well as that originating from the purchase of goods intended for fixed assets used by the taxpayer or responsible party to produce goods taxable under Sales Tax, have the right to fiscal credit. Excluded from this provision are companies operating under special export regimes. To have the right to fiscal credit, Sales Tax must have been paid at the time of purchase or import. Likewise, the right to fiscal credit proceeds for taxpayers or those responsible for disbursements made for the use of services intended for repair or to remedy deterioration corresponding to the normal use or enjoyment of fixed assets, provided that they do not increase the value thereof; and in general, fiscal credit originating from disbursements made for the use of services essential for the production, elaboration, or sale of goods or services taxed under Sales Tax, related to their economic activity. The right to fiscal credit does not proceed for the use or consumption of goods or merchandise for personal benefit, self-provision of services, and gifts, nor for the import or acquisition of goods or the use of services when purchases are not properly documented; when the respective document does not meet the requirements established in the Regulation of this Law. In no case in which Sales Tax should be treated as fiscal credit may it be taken as a cost or expense of income tax, except when Sales Tax paid is related to operations exempt from this tax. Bad debts and uncollectable accounts do not give the right to deduct the respective tax debit. When those responsible are obligated to declare monthly, fiscal credit may only be recorded in the fiscal period corresponding to the date on which such credit was caused or in one of the three monthly periods immediately following such period. Natural or legal persons who sell taxed and exempt goods or provide taxed and exempt services shall determine the fiscal credit to use against the tax debit in accordance with the following rules: a) Credit linked to taxed activity shall be used at one hundred percent (100%) against the tax debit for the period; and b) In those cases where fiscal credit linked to taxed operations cannot be identified and that linked to exempt operations, the taxpayer or responsible party shall have the right to fiscal credit only in the percentage corresponding to taxed sales for the period. Credit related to exempt operations shall constitute a cost or expense. When the difference between the tax debit and tax credit is favorable to the taxpayer, the balance shall be transferred to the following month and so on until exhausted. The refund of fiscal credit does not proceed, except in cases expressly provided for in the Law, for which purpose the Executive Branch shall annually allocate in the General Budget of Income and Expenses of the Republic an appropriation to cover corresponding refunds. The Department of State for Finance shall establish an expeditious system for refunds. The Executive Tax Office (DEI), upon request of the interested party, shall process the cash refund within a period not exceeding thirty (30) business days. The right to deduct fiscal credit from tax debit is specific to each taxpayer or responsible party and may not be transferred in any case, except when it is a matter of merger or absorption of corporations and the new or continuing company continues the business or activity of the original ones, in which case the new company shall enjoy the right to fiscal credit that corresponded to the merged or absorbed companies. The taxpayer or person responsible who ceases the object or business of their activities shall have no right to refund or reimbursement of fiscal credit remaining as a result of such termination of activities. Such fiscal credit shall likewise not be transferable, except in the case stated in the preceding paragraph. In the case of sale of taxed goods or provision of taxed services to exporters, the mechanism of the Exempt Purchase Order may be used for the acquisition of taxed raw materials and inputs, granted by the Executive Tax Office (DEI). The right to fiscal credit also proceeds from local purchase or import of goods intended for fixed assets, used by the taxpayer or responsible party to produce goods and services, tangible and intangible. In the case of liquid and enforceable Sales Tax credits that are pending refund, proceedings may be conducted in accordance with what Articles 129 and 131 of the Tax Code establish, or a respective credit note may even be issued for new purchases or imports by the taxpayer or responsible party.
The sworn declarations referred to in Article 11 shall be presented in the forms that the General Office shall provide free of charge. In the event that the taxpayer ceases for any reason in the exercise of their commercial or industrial activity, they shall present the declaration within thirty (30) days following the occurrence of such event. The heirs shall have the same obligation in the event of the taxpayer's death.
The lack of forms to submit the sworn statement or remit the amounts collected to the Treasury does not exempt those responsible from their tax obligation. In such case, they shall make their declarations on photocopies of the forms from the Executive Department of Revenue (DEI).
The following sale of goods and services are exempt from the Tax established by this Law:
- a)
