Summary
This resolution establishes a single, uniform method for calculating capital gains tax when selling shares or social participations in Honduras. The tax rate is 10% and is calculated by dividing the company's equity by the number of shares, subtracting the sale price, and multiplying by the shares sold. It applies to individuals and companies selling shares.
Considerations
That by means of Legislative Decree No. 262-2010, dated December 2, 2010 and published in the Official Gazette "La Gaceta" on December 11, 2010, the State Secretariat of the Office of Finance is instructed to form an Ad-hoc Interinstitutional Commission, composed of representatives of the State Secretariat of the Office of Finance (SEFIN), Executive Revenue Office (DEI), and Honduran College of University Professionals in Public Accounting (COHPUCP), to proceed with the review of the procedure and determine the form and method of calculation of the tax on capital gains or any other tax, in order that in practice there be a unified procedure to give equitable treatment to taxpayers.
That in compliance with the provisions of Decree 262-2010, dated December 2, 2010 and published in the Official Gazette "La Gaceta" on December 11, 2010, the Ad-hoc Interinstitutional Commission was formed by means of Agreement No. 0840 issued on May 24, 2011 and No. 1-446-2011 dated September 24, 2011, with the members of the Commission being appointed and sworn in to grant them the faculties and obligations corresponding to them.
That there are currently in judicial and administrative proceedings legal resources filed by taxpayers who were subject to adjustments made by the Executive Revenue Office with respect to the Tax on Capital Gains generated by Sale of Shares, which to date have not been resolved due to the lack of uniform applicable procedures for the aforementioned tax.
That it is necessary to determine an applicable procedure for the determination of Capital Gain in the sale of shares or social participations, by a natural or legal person.
That Article 351 of the Constitution of the Republic determines that the tax system shall be governed by the principles of legality, proportionality, generality, and equity in accordance with the economic capacity of the taxpayer. Likewise, Article 109 establishes that taxes shall not be confiscatory. No one is obliged to pay taxes or other taxes that have not been legally decreed by the National Congress in ordinary sessions. No authority shall apply provisions in contravention of this precept without incurring in the liability determined by Law.
That Article 205, numerals 1 and 21 of the Constitution of the Republic state that it is the exclusive competence of the National Congress to create, decree, interpret, reform, and repeal laws, as well as to appoint special commissions for the investigation of matters of national interest.
That the current Tax Code, contained in Decree 22-97, and reformed by Decree 210-2004, establishes the rules to which the application, collection, and oversight of taxes or imposts, contributions and fees in force in Honduras and the legal relationships arising therefrom shall be subject, as expressed in Article 1 thereof.
That the sources of Honduran Tax Law established in Article 3 of the Tax Code have been taken into consideration: 1. The Constitution of the Republic; 2. The treaties or agreements, whether tributar in nature or containing provisions of this nature, of which Honduras is a party; 3. The general and special laws of a tributary nature in force in Honduras insofar as they do not oppose what is prescribed by this instrument; and 4. The Tax Code.
That for purposes of applying tax provisions, administrative bodies shall conform to the normative hierarchy established in Article 4 of the Tax Code: 1. The Constitution of the Republic; 2. Treaties or agreements containing provisions of a tributary nature of which Honduras is a party; in case of conflict between a treaty or agreement and a law, the former shall prevail; 3. Tax Code; 4. General and special laws of a tributary nature; 5. The General Law of Public Administration and other general laws in force in Honduras; 6. The regulations of the laws referred to in numeral 4) above; and the resolutions issued by the State Secretariat of the Office of Finance on the matter; 7. The jurisprudence established by the Supreme Court of Justice, which concerns tax matters; and 8. The general principles of Law.
That in the sale of shares or social participations of a Company incorporated in Honduras or incorporated under Honduran laws, what is expressed in Article 2 of the Tax Code must be observed, which states: That acts, facts, relations or situations carried out or perfected within the national territory whose economic source is not located in the country shall be subject to the provisions of this Code provided they configure a taxable event. Likewise, acts, facts, relations or situations carried out or perfected abroad by persons domiciled or not in Honduras whose economic source is located within national territory shall be subject to the provisions of this Code provided they configure a taxable event.
That Article 39 of the Tax Code establishes that "The taxable event or taxable fact is the real or assumed act that, in accordance with the law, typifies any class of tax, and whose occurrence gives rise to the birth of the tax obligation."
That the Tax Code establishes in Article 42 that the taxable base is the quantification of the taxable event expressed in money or in specific units and shall serve for the calculation of the assessment of the tax or contribution. The quantification shall be based on economic reality, the normal and ordinary usages of business, and the rules and generally accepted accounting standards. It shall, moreover, be proportionate to the taxable event and take into account the economic capacity of the Taxpayer.
That the Law on Accounting and Auditing Standards contained in Decree No. 189-2004 of February 16, 2005, establishes in Article 9 that every merchant and other legal persons are obliged to keep and maintain in their establishment accounting records duly organized in their entirety in such a manner that they clearly, reasonably, and precisely reflect the results of their annual operations or fraction of a year, for those who do not complete the twelve (12) months. Financial Statements shall be prepared by and under the responsibility of the administration of the merchant and/or legal entity, in accordance with International Financial Reporting Standards (IFRS) adopted by the Technical Board.
That the Commercial Code of Honduras in its provisions regarding corporations by shares shall present equal portions of the capital stock and shall have a nominal value of One Hundred Lempiras (L.100.00) or multiples thereof. Likewise, a Share is the necessary instrument to accredit, exercise, and transmit the status of partner. In the case of corporations by social participation, they may be of unequal value and category, but in any case shall be One Hundred Lempiras (L.100.00) or multiples thereof.
That Article 438 of the Commercial Code defines the valuation of shares as follows: IV. Securities quoted on the stock exchange that produce a fixed return may be computed either at the value of the stock exchange quotation obtained as an average in the period to which the balance refers, or at the value resulting from capitalizing the income from such securities, and likewise in numeral V it expressed that securities not quoted on the stock exchange, and social participations may not be valued at a figure higher than that resulting from dividing the net assets, property, respective reality, that is, making a proportion in the sum of the capital stock and reserves and the capital stock. The aforementioned Article was repealed by the Law on Accounting and Auditing Standards, with said regulation passing to the Technical Board of Accounting and Auditing Standards.
That the Law on Income Tax taxes income derived from capital, from labor, or from a combination of both, as determined by this Law. Income is considered to be any kind of return, profit, gain, income, interest, product, benefit, participation, salary, wages, honoraria, and in general, any perception in cash, in securities, in kind, or in credit, that modifies the patrimony of the taxpayer. The Income Tax is based on the principle of the ability or capacity to pay of the taxpayer. The ability or capacity to pay of the taxpayer is synonymous with the economic capacity thereof, which is measured by means of income received in money, in credit, in securities, in rights, in kind, or in any other form provided it can be measured objectively in monetary terms during the period or taxable year.
That Article 14 of the Law on Efficiency in Income and Public Spending determines, among other things, that "Capital Gains obtained by natural or legal persons domiciled or not in Honduras shall pay a unique rate of ten percent (10%), for which reason they shall not be subject to the progressive rate of Income Tax established in Article 22 of this Law. Likewise this Article expresses that "Capital gains are those resulting from the transfer, assignment, purchase and sale, or other form of negotiation of assets or rights, carried out by individual or legal persons, whose ordinary business activity is not commercial in such assets or rights. For these purposes, the gains or losses resulting from the alienation of the taxpayer's habitual residence are not considered." Article 10 of the Gross Income Tax Law expresses: By gross income is understood the total income received by the taxpayer during the year from any of the sources that produce it, whether in the form of money in cash or other assets or class. Notwithstanding the foregoing, capital gains obtained by natural or legal persons domiciled or not in Honduras shall pay a Unique Tax of Ten Percent (10%), for which reason they shall not be subject to the progressive rate of Income Tax established in Article 22 of this Law.
That the Regulations of the Income Tax Law in Articles 8 and 31 define capital gain as follows: "Article 8 Income is all income received by a person from capital, personal labor, or a combination of both. Gain or loss is the positive or negative result of operations inherent to the business or activity of a taxpayer. Capital gain or loss is the positive or negative result obtained in operations conducted on assets or securities that do not constitute the proper or ordinary business of a taxpayer, such as real property, shares, production assets, or other similar items. The patrimony of a taxpayer is indivisible and shall be considered as such the set of assets, rights, and obligations that belong to them."
That pursuant to Article 31, capital gains consist of benefits, income, profits, or any other increase in patrimony derived from the disposal or alienation of movable property, mining concessions; rights, quotas, or shares in corporations; assets of fixed assets of an enterprise; water rights; intellectual or industrial property, commercial goodwill, and any others that meet the characteristics referred to in Article 8.
That by virtue of lacking procedures in the determination of capital gain in the sale of shares, the Ad-Hoc Interinstitutional Commission proceeded with the analysis and determination of the calculation of capital gain in the sale of shares that should be applied by the Executive Revenue Office. On Income Tax, Law on Efficiency of Income and Public Spending, and other legal provisions. 4. Presentation and Payment: The presentation and payment of the return shall be made in accordance with what is established in the Income Tax Law. SECOND: The Financial Statements that shall serve as the basis for determining the unique tax on capital gain shall be those where shares and social participations are registered, it being understood that these Financial Statements must be prepared in accordance with the accounting framework in compliance with the Law on Accounting and Auditing Standards. Those operations carried out that are not duly legalized and that form part of the patrimony shall not be considered. THIRD: The Executive Revenue Office shall act in accordance with this Resolution.
