Bill of Quantities. 37.1 The Bill of Quantities shall contain the line items corresponding to Construction, assembly, tests and commissioning work to be performed by the Contractor. 37.2 The Bill of Quantities is used to calculate the Contract Price. The Contractor is paid for the quantity of work performed at the unit price specified for each line item in the Bill of Quantities. 38. Modifications in Quantities. 38.1 If the final quantity of work performed differs by more than twenty-five (25%) percent from that specified in the Bill of Quantities for a particular line item, and provided that the difference exceeds one (1%) percent of the Initial Contract Price, the Works Manager shall adjust the prices to reflect the change. 38.2 The Works Manager shall not adjust prices due to differences in quantities if doing so would exceed the Initial Contract Price by more than fifteen (15%) percent, unless it has prior approval from the Contracting Party. 38.3 If the Works Manager so requests, the Contractor shall provide a breakdown of costs corresponding to any price shown in the Bill of Quantities. 39. Variations. 39.1 All Variations shall be included in the updated Programs presented by the Contractor. 40. Payments for Variations. 40.1 When the Works Manager so requests, the Contractor shall submit a quotation for the execution of the Variation. The Contractor shall provide it within seven (7) days following the request, or within a longer period if the Works Manager so determined. The Works Manager shall analyze the quotation before ordering the Variation. 40.2 When the work corresponds to line items described in the Bill of Quantities and if, in the opinion of the Works Manager, the quantity of work or its execution schedule does not produce changes in the unit cost above the limit established in Subclause 38.1, the price indicated in the Bill of Quantities shall be used to calculate the value of the Variation. If the unit cost is modified, or if the nature or execution schedule of the work corresponding to the Variation does not match any price indicated in the Bill of Quantities, the Contractor shall provide a quotation with new prices for the relevant line items of the work. 40.3 If the Works Manager does not consider the Contractor's quotation probable, the Works Manager may prepare its own estimate and adjust the Contract Price based on its own estimate of the effects of the Variation on the Contractor's costs. 40.4 If the Works Manager decides that the urgency of the Variation does not allow obtaining and analyzing a quotation without delaying the work, no quotation shall be requested and the Variation shall be considered a Compensable Event. 40.5 The Contractor shall have no right to payment of any compensation to the extent that the interests of the Contracting Party are harmed if the Contractor had not cooperated with the Works Manager. 45. The adjustment shall be made by the amount of changes in taxes payable by the Contractor, provided that such changes are not in the relationship in the Contract Price, or are the result of the application of clause 47 of the CGC. 46.
